Terms of Service

1. Agreement to Terms

By creating an account, accessing, or using the SlateTablet application or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

SlateTablet provides a digital field data capture application for survey crews and a web-based administrative portal for company managers (“Admins”). The Service enables crews to record field notes, measurements, and survey data digitally, and enables Admins to manage team members and view field activity.

The Service is provided on a subscription basis, priced per user. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to active subscribers.

3. Accounts and Eligibility

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Service.
• Account accuracy: You agree to provide accurate and complete information when creating your account and to keep that information up to date.
• Account security: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at admin@slatetablet.com if you suspect unauthorized access to your account.
• One account per person: Each account is for a single individual. Sharing login credentials with others is prohibited.
• Admin responsibility: Company Admins are responsible for all activity that occurs under their company account, including actions taken by invited employees.

4. Subscriptions and Billing

4a. Subscription Plans

The Service is offered on a per-user subscription basis. Subscription plans are:

• Monthly: $25.00 USD per user per month, billed monthly.
• Annual: $240.00 USD per user per year, billed annually (equivalent to $20.00/month).
• Perpetual: $999.00 USD per user, one-time payment. Includes all features and future updates.

Pricing is subject to change with 30 days' notice to active subscribers.

4b. Free Trial

We may offer a free trial period at our discretion. At the end of the trial, a paid subscription is required to continue using the Service. We reserve the right to modify or discontinue free trials at any time.

4c. Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize us to charge your payment method on file for each renewal period.

4d. Seat Allocation

When an Admin invites an employee to the platform, one crew seat is reserved. Seats are limited to the number purchased. Admins can view seat usage and purchase additional seats through the admin portal.

4e. Cancellation

You may cancel your subscription at any time through the billing section of the admin portal or by contacting us at admin@slatetablet.com. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused time within a billing period.

4f. Payment Processing

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment details on our servers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload, transmit, or store data that infringes on any third party's intellectual property rights.
• Introduce malware, viruses, or malicious code into the Service.
• Attempt to gain unauthorized access to any other user's account or to our systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service for any purpose other than its intended use as a field data capture and management tool.
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
• Use automated tools to scrape, extract, or harvest data from the Service.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Your Data and Content

Ownership:You retain full ownership of all field data, notes, and content you input into the Service (“Your Content”). We do not claim ownership of Your Content.

License to operate: By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely as necessary to provide and improve the Service.

Responsibility: You are solely responsible for the accuracy and legality of Your Content. We do not review or validate field data entered by users.

Data export: You may request an export of Your Content at any time by contacting admin@slatetablet.com. We will provide data in a commonly used format within a reasonable timeframe.

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, and trademarks, is owned by SlateTablet and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand assets without prior written consent.

Feedback or suggestions you provide about the Service may be used by us without obligation to compensate you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ENTIRELY SECURE.

We are not responsible for the accuracy, completeness, or reliability of any field data entered by users. Survey data should be independently verified before use in any professional, legal, or regulatory context.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATETABLET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless SlateTablet and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English.

You waive any right to participate in a class action lawsuit or class-wide arbitration against SlateTablet.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. You may request an export of Your Content within 30 days of termination.
